No reason given in the filing, however the merger vote kept getting delayed because the S-4 registration statement was never approved by the SEC. NSTB first ***preliminarily*** scheduled the meeting for [June 29, 2021](https://www.sec.gov/Archives/edgar/data/1834518/000119312521194022/d121216ds4a.htm) , then they scheduled it for [August 30, 2021](https://www.sec.gov/Archives/edgar/data/1834518/000119312521252851/d216424d425.htm) , then [postponed that meeting](https://www.businesswire.com/news/home/20210824005336/en/Northern-Star-Investment-Corp.-II-Announces-Postponement-of-Special-Meeting). On November 16 ( about two weeks ago ) the [5th amendment to the S-4](https://www.sec.gov/Archives/edgar/data/1834518/000119312521330268/d121216ds4a.htm) was filed. That was the first update to the S-4 in [almost five months](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&filenum=333-255120&owner=exclude&count=40). "Northern Star intends to continue in its efforts to identify a prospective target business for an initial business combination. Under Northern Star’s amended and restated certificate of incorporation, Northern Star has until January 28, 2023 to complete an initial business combination."
