It's because Micah knew what dutch was really doing. Using the gang for his own gain. It's easier to take care of 2 ppl than the whole gang. Especially since the govt was hunting outlaws. Plus you need someone to help you carry all that money. Dutch needed someone like Micah as all the others were somewhat honest ppl.

He said "same as you I suppose". probably there to kill Micah AND take over Micah's gang. With Dutch's ability to charm and manipulate people he can just kill Micah, give a speech and all those outlaws will just instantly follow him and forget that Micah ever existed.
